AWG Holdings Inc., doing business as Ascendi Wash Group (“AWG,” “we,” “us” or “our”), respects your privacy and is committed to handling personal information responsibly. This Privacy Policy explains how we collect, use, disclose, retain and protect personal information when you visit the AWG website on which this Policy is posted and related pages that link to it (collectively, the “Site”), communicate with us, request information, subscribe to updates, or submit an acquisition, partnership, vendor, employment or investment-related inquiry.

1. Scope

This Policy applies to personal information handled through the AWG corporate Site and related communications with AWG. It does not govern customer transactions, memberships, payment systems, surveillance systems or service requests handled directly by a BIG TOY WASH location or another operating business unless this Policy is expressly presented for that activity. It also does not govern independent investor portals, social-media platforms or other third-party websites and services. Those entities and services may provide their own privacy notices.

2. Personal Information We Collect

Information you provide

Depending on how you interact with us, we may collect:

  1. identification and contact details, such as your name, email address, telephone number, company, title and mailing address;
  2. general inquiry details, including the nature of your request, preferred contact method and message;
  3. acquisition or carwash-owner inquiry information, such as the business or property name, location, ownership role, site type, number of bays or tunnels, reason for contacting AWG and other high-level information you choose to provide;
  4. partnership, lender, broker, supplier, vendor or professional-adviser information relevant to a potential business relationship;
  5. employment or recruiting information submitted through the Site, if an employment feature is offered;
  6. information submitted through an investor-interest form, if offered, such as investor type, estimated investment amount, investment interests and a response concerning accredited-investor status;
  7. newsletter subscription details and communication preferences;
  8. information contained in correspondence, meeting requests, documents or other communications you send to us; and
  9. any other information you choose to provide.

Information collected automatically

When you use the Site, we and our service providers may automatically collect limited technical and usage information, including your Internet Protocol address, browser and device type, operating system, referring page, pages viewed, approximate location derived from your IP address, dates and times of access, interactions with Site features and cookie or similar identifiers.

Information from other sources

We may receive business contact, referral or publicly available business information from brokers, lenders, professional advisers, vendors, business partners, public sources or people who introduce you to us, where permitted by law. We use that information only for reasonable business purposes and in accordance with this Policy.

3. How We Use Personal Information

We may use personal information to:

  1. respond to questions, requests, meeting inquiries and other communications;
  2. review, route and follow up on carwash-owner, acquisition, real-estate, financing, investor, partnership, media, employment, supplier, vendor or general inquiries;
  3. conduct preliminary screening of a potential acquisition or business relationship and, where appropriate, arrange a confidential follow-up process;
  4. provide information or materials you request and manage our business relationships;
  5. administer newsletter or update subscriptions where we have the required consent or other lawful basis;
  6. operate, maintain, secure, troubleshoot and improve the Site and our systems;
  7. understand Site usage and performance through consented analytics;
  8. detect, prevent and investigate fraud, misuse, security incidents or unlawful activity;
  9. maintain records, enforce agreements, establish or defend legal rights, and comply with legal, regulatory, tax, accounting and reporting obligations; and
  10. carry out another purpose that we identify when collecting the information or that is otherwise permitted or required by law.

4. Consent and Your Choices

We obtain consent where required and provide information in a form that is reasonably understandable. The form of consent may vary depending on the sensitivity of the information and the circumstances. You may decline to provide optional information or withdraw consent to future collection, use or disclosure, subject to legal or contractual restrictions and reasonable notice. Withdrawing consent may limit our ability to provide a requested communication or service.

The Site uses cookies and similar technologies. Strictly necessary technologies support functions such as security, network management, form operation and storage of your privacy choices. With your

permission, we may use optional analytics, functional or marketing technologies to understand Site use, improve performance, enable third-party features or measure communications.

They may use the information only for the services they provide to us, subject to appropriate contractual or legal obligations.
  2. Affiliates and operating businesses. To Ascendi Capital Inc., AWG affiliates, BIG TOY WASH operating entities or another operating business when necessary to address the specific inquiry you submitted, with appropriate safeguards and as permitted by law.
  3. Transaction participants. To prospective financing sources, acquisition partners or other transaction participants where reasonably necessary for an evaluation or transaction and subject to appropriate confidentiality and legal requirements.
  4. Professional advisers and authorities. To legal, accounting, tax, audit, insurance, regulatory, law-enforcement or governmental parties where reasonably necessary or required by law.
  5. Business transactions. In connection with a proposed or completed financing, reorganization, merger, acquisition, sale or other business transaction, subject to applicable confidentiality and legal requirements.

6. With your direction or consent. For another purpose that you authorize.

We do not sell personal information to third parties for their own direct-marketing purposes.

7. Processing and Storage Outside Canada

AWG and its service providers may process or store personal information outside Alberta or Canada. In that case, the information may be subject to the laws of the jurisdiction where it is processed and may be accessible to courts, law-enforcement or governmental authorities in that jurisdiction. We use contractual, organizational and technical measures appropriate to the circumstances when engaging service providers.

8. Retention

We retain personal information only for as long as reasonably necessary for the purposes described in this Policy, to maintain appropriate business and consent records, and to meet legal, regulatory, tax, accounting, dispute-resolution and security requirements. Retention periods vary depending on the nature of the information and the reason it was collected. When information is no longer required, we securely delete, destroy or anonymize it, subject to permitted backup and archival practices.

9. Safeguards

We use administrative, technical and physical safeguards appropriate to the sensitivity of the information to protect it against unauthorized access, collection, use, disclosure, copying, modification, loss or disposal. No Internet transmission or storage system is completely secure, and we cannot guarantee absolute security. Please do not send highly sensitive or confidential information through an ordinary website form or unencrypted email unless we specifically request it through an approved secure channel.

10. Access, Correction and Privacy Requests

Subject to applicable law, you may request access to personal information we hold about you, ask how it has been used or disclosed, or request correction of inaccurate or incomplete information. You may also withdraw consent to future uses where consent is the basis for processing. We may need to verify your identity before responding and may refuse or limit a request where permitted or required by law.

11. Marketing Communications

We send newsletters, insights or other commercial electronic messages only where permitted by law. You can unsubscribe using the link in an email or by contacting us. We may retain limited information necessary to record and respect an unsubscribe request. Service or transactional communications that are necessary to respond to your inquiry or manage an existing relationship may continue where permitted.

12. BIG TOY WASH, Third-Party Links and Investor Portals

The Site may link to BIG TOY WASH locations or websites, payment or membership providers, social networks, mapping tools, service providers or an investor portal. A link does not mean that AWG controls every linked service or that this Policy governs it. Review the privacy notices and terms presented by the applicable operating entity or service before providing information. Information submitted directly to an external portal or provider is governed by that service’s terms and privacy notice, in addition to any agreement you may have with AWG.

13. Children

The AWG corporate Site is intended for business, acquisition and investment audiences and is not directed to children. We do not knowingly collect personal information from children through the Site. If you believe a child has provided personal information to us, please contact us so we can address it.

14. Privacy Incidents

If a privacy or security incident occurs, we will investigate and take steps required by applicable law, which may include notifying affected individuals or a privacy regulator where the applicable threshold is met.

15. Changes to This Policy

We may update this Policy from time to time. The revised version will be posted on the Site with a new effective date. If a change materially affects how we handle information already collected, we will take additional steps where required by law.
