These Terms of Use (“Terms”) govern your access to and use of the Ascendi Wash Group website on which these Terms are posted and related pages that link to them (collectively, the “Site”). The Site is operated by AWG Holdings Inc., doing business as Ascendi Wash Group (“AWG,” “we,” “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Informational Purpose

The Site provides general information about AWG, its carwash platform, acquisition strategy, operating approach, affiliated businesses and customer-facing brands. Site content is provided for informational purposes only and may not be complete, current or suitable for your circumstances.

2. No Offer or Solicitation

Nothing on the Site constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation relating to any security, investment product or transaction. Any investment opportunity involving AWG or an affiliate will be made available only through applicable definitive offering, subscription and governing documents, to persons who satisfy applicable legal and eligibility requirements, and only in jurisdictions where permitted by law. If Site content conflicts with definitive documents, the definitive documents govern.

3. No Investment, Legal, Tax or Accounting Advice

The Site does not provide investment, financial, valuation, legal, tax, accounting, environmental, engineering or other professional advice. You should obtain independent professional advice and conduct your own due diligence before making any decision. Nothing on the Site creates an advisory, fiduciary, client, partnership, agency, brokerage or other professional relationship between you and AWG.

4. Investment Risk and Forward-Looking Information

Investments involve risk, including possible loss of principal, limited liquidity and uncertainty regarding future results. Past performance, historical information, targets, projections, estimates, examples and statements about potential outcomes do not guarantee future performance.

The Site may contain forward-looking statements based on assumptions, expectations and information available when stated. Actual events and results may differ materially because of economic, market, financing, acquisition, integration, operational, environmental, regulatory and other risks. AWG undertakes no obligation to update forward-looking statements except where required by law.

5. Eligibility and Jurisdiction

The Site is not directed to any person or jurisdiction where access, distribution or use would be unlawful or would require AWG or an affiliate to make a registration, filing or other qualification that has not been made. You are responsible for understanding and complying with laws that apply to your access and use. A response submitted through an investor-interest form, including a response about accredited-investor status, does not verify eligibility, reserve an allocation or create any right to invest.

6. Accuracy and Reliance

We seek to present useful information but do not warrant that Site content is accurate, complete, current or free of errors. Information about locations, services, operating statistics, acquisition plans, transaction activity or investment matters may change without notice. You should not rely on the Site as the sole basis for a sale, acquisition, financing, investment or other decision and should verify material information independently.

7. Permitted Use

You may view, download and print reasonable portions of the Site for your personal, internal business and non-commercial informational use, provided that you do not remove proprietary notices or modify the content. You must not:

  1. use the Site unlawfully, fraudulently or in a manner that infringes another person’s rights;
  2. attempt to gain unauthorized access to the Site, accounts, servers, data or security controls;
  3. introduce malicious code, interfere with operation, test vulnerabilities without authorization, or circumvent access restrictions;
  4. scrape, harvest, systematically extract, reproduce, republish or commercially exploit Site content without written permission;
  5. impersonate another person, misrepresent your affiliation or submit false or misleading information; or
  6. use AWG’s, Ascendi Wash Group’s or BIG TOY WASH’s name, trademarks or content in a way that suggests sponsorship, endorsement or affiliation without permission.

8. Intellectual Property

The Site and its content, including text, graphics, photographs, video, logos, trademarks, designs and software, are owned by or licensed to AWG or its affiliates and are protected by applicable intellectual-

property laws. Ascendi Wash Group and BIG TOY WASH names, logos and related brand assets may be trademarks or business identifiers of AWG or its affiliates. Except for the limited permission above, no right or licence is granted. Third-party names and marks remain the property of their respective owners.

9. BIG TOY WASH Locations and Third-Party Services

The Site may link to BIG TOY WASH locations or websites, mapping tools, payment or membership providers, social networks, service providers or an investor portal. These links are provided for convenience. AWG does not control and is not responsible for every third-party service’s content, availability, security, products, policies or practices. Your use of a third-party service is governed by its own terms. Products, wash services, memberships, promotions and customer-service matters may also be subject to location-specific terms presented by the applicable operating entity.

10. Acquisition and Business Submissions

Website forms and email are not secure data rooms. Do not send confidential financial statements, customer or employee records, payment data, account credentials, government identification numbers, environmental reports or other sensitive deal materials unless AWG specifically requests them through an approved secure process. Submitting a carwash, property, partnership, vendor or other business inquiry does not create a confidentiality obligation, agency or brokerage relationship, exclusivity arrangement, valuation, offer or commitment, and does not obligate AWG to respond, enter discussions or pursue a transaction. Confidentiality applies only where set out in a written agreement or otherwise required by law.

11. No Commitment to Acquire or Partner

Any indication of acquisition criteria, preferred markets, transaction structures, partnership interests or expansion objectives is general and may change. AWG may evaluate, decline, suspend or discontinue discussions at any time, subject to any binding written agreement. No transaction exists unless definitive documents are executed by authorized parties and all applicable conditions are satisfied or waived.

12. Privacy and Cookies

Our collection and handling of personal information through the Site is described in our Privacy Policy. The Site also uses cookies and similar technologies as described in that Policy and in the Cookie Settings interface. The Privacy Policy forms part of these Terms.

13. Site Availability and Security

We may modify, suspend or discontinue any part of the Site without notice. We do not warrant uninterrupted access, compatibility with every device, or that the Site will be secure or free from harmful components. You are responsible for maintaining appropriate device, browser, network and security protections.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and all content are provided “as is” and “as available,” without representations, warranties or conditions of any kind, whether express, implied, statutory or otherwise, including warranties or conditions of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title, non-infringement, security or availability.

15. Limitation of Liability

To the maximum extent permitted by law, AWG and its affiliates, officers, directors, employees, advisers, agents, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for loss of profits, opportunities, data, goodwill or business interruption, arising from or relating to the Site, its content, your reliance on it, a submitted inquiry, or any linked third-party service. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

16. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless AWG and its affiliates, officers, directors, employees and agents from claims, liabilities, losses and reasonable costs arising from your unlawful use of the Site, your breach of these Terms or your infringement of another person’s rights.

17. Changes and Termination

We may revise these Terms by posting an updated version with a new effective date. Your continued use after the revised Terms are posted constitutes acceptance of the revised Terms. We may restrict or terminate access to the Site where we reasonably believe these Terms have been breached or where necessary to protect the Site, AWG or others.

18. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. Subject to applicable law, the courts located in Calgary, Alberta will have exclusive jurisdiction over disputes arising from or relating to the Site or these Terms.

19. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect and the affected provision will be interpreted or limited to the minimum extent necessary. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any additional terms expressly applicable to a feature or service, constitute the agreement governing use of the Site.
